Version 1.0 · Effective: October 15, 2025
This agreement constitutes a legal contract between you ("Creator") and Hyper Lab LLC ("Seacrets" or "the Platform").
By creating a creator account or by checking the acceptance box during the registration process, you agree to be legally bound by this Agreement.
By electronically accepting this Agreement, the Creator acknowledges having read, understood, and agreed to be legally bound by its terms.
This Agreement is entered into by and between:
Hyper Lab LLC, a company incorporated under the laws of the State of Delaware, United States ("Seacrets" or "the Platform"),
and
the person who creates a creator account and electronically accepts this Agreement ("Creator").
The Creator's identity will be determined based on the data registered in their account and the applicable verification processes.

- "Content": digital material published by the Creator (videos, images, audio, live streams, text, messages, etc.).
- "Policies": the Platform's current documents, including at minimum: Acceptable Use Policy, Privacy Policy, Moderation/Content Policy, Payments and Refunds Policy, KYC Policy, AML Policy, and operational guidelines that are published and updated.
- "KYC": identification and verification procedures for the Creator and, where applicable, the ultimate beneficial owner.
- "AML": controls for the prevention of money laundering, terrorist financing, fraud, sanctions, and related conduct.

- "Electronic acceptance": the act by which the Creator accepts this Agreement by checking the corresponding box or using any equivalent digital mechanism during the registration process and/or use of the Platform.
Nature of the Relationship
- Technology service. The Platform provides the Creator with a service granting access to and use of technological infrastructure, which may include: hosting, profiles, payment gateway (through third parties), streaming, messaging, monetization tools, admin dashboards, analytics, and other available functionalities.
- Platform neutrality. The Platform acts exclusively as a technology infrastructure provider that allows Creators to publish and monetize content they generate. The Platform does not participate in the creation, production, or development of content published by Creators.
- Limited editorial intervention / curation. The Platform may carry out promotion, marketing, curation, and moderation in accordance with the Policies, without thereby assuming authorship or ownership of the Content.
- No employment relationship. This Agreement does not create an employment, agency, representation, partnership, franchise, or mandate relationship between the Parties. The Creator acts on their own behalf and under their exclusive tax and legal responsibility.
Sign-Up, the Account, and Eligibility
- The Creator represents and warrants that: (i) they are of legal age under applicable law and the Policies; (ii) they have the legal capacity to contract; (iii) the information provided is truthful and updatable.
Creating an account on the Platform and electronically accepting this Agreement constitute the Creator's express manifestation of consent to be legally bound by the terms of this contract.
- The Platform may require additional documentation at any time for KYC/AML, security, compliance, or risk-management reasons.
- The Creator is responsible for safeguarding their credentials and for the use of their account; any activity carried out from their account is presumed to be authorized by them.
Electronic Acceptance and Digital Records
This Agreement may be accepted by electronic means. By creating a creator account, checking the corresponding acceptance box, or continuing to use the Platform after this Agreement has been presented to the user, the Creator expresses their explicit consent to be legally bound by its terms.
The parties agree that electronic records generated by the Platform, including acceptance logs, IP addresses, account identifiers, timestamps, or other technical data associated with registration or use of the service, may be retained and shall constitute valid evidence of acceptance of this Agreement.
Electronic acceptance of this Agreement shall have the same legal effect as a handwritten signature under applicable electronic-transactions laws.
Content License and Intellectual Property
Creator Ownership: The Creator retains intellectual property ownership and all copyright over the original content (hereinafter, "the Content") that they generate and publish on the Platform. Nothing in this contract shall be construed as a transfer of ownership of the Content to the Platform.
License to the Platform: By publishing or uploading their Content to the Platform, the Creator grants the Platform a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license over such Content. This license allows the Platform to use, store, reproduce, distribute, communicate, publicly display, transmit, adapt, translate, edit, and promote the Content, for the sole purpose of operating the Platform and its associated services, as well as for marketing and promotional actions related to the Platform or the Creator's profile.
The license granted includes the Platform's right to create derivative works or make minor modifications to the Content when necessary for technical reasons or format adaptation (for example, generating thumbnails, previews, or adjusting video resolution), always respecting its integrity.
Duration of the License: The license over the Content shall remain in effect for as long as the Content is available on the Platform and for a reasonable period thereafter, solely to allow the Platform to comply with legal obligations under applicable law, resolve disputes, maintain security backup copies, or complete promotional campaigns already underway that include such Content. If the Creator voluntarily removes specific Content from the Platform, the license over that particular Content shall be deemed terminated (except for the limited purposes mentioned above).
Warranty of Rights over the Content: The Creator warrants that all Content they publish is original or that they hold the necessary third-party rights, licenses, and consents to grant the license described to the Platform. The Creator affirms that the Platform's use of the Content under this license will not infringe copyright, trademarks, image rights, or other intellectual property or personal rights of third parties. Should the Platform face third-party claims for any rights infringement attributable to the Creator's Content, the Creator shall assume full responsibility in accordance with the Indemnification clauses set forth in this contract.
Image Rights and Promotion
The Creator expressly authorizes the Platform to use their image, voice, stage name (pseudonym), and any representation of their person appearing in the Content provided, for purposes of promoting their profile on the Platform or the Platform itself. This authorization to use the Creator's image shall be worldwide, non-exclusive, without additional compensation (it being understood that the consideration for such use is included in the general terms of this contract), and limited to promotional or advertising activities related to the Platform and the services offered on it.
The Platform commits to using the Creator's image and other personal elements respectfully, without improperly altering the Content and without harming the Creator's reputation or dignity. Under no circumstances will the Platform transfer the Creator's image or content to unrelated third parties for purposes unrelated to promoting the Platform without obtaining additional consent. This authorization regarding image rights shall remain in effect for the same term as the Content license granted to the Platform, and the Creator may revoke it by deleting the Content or terminating this contract, in accordance with the terms established herein.
Creator Obligations
The Creator agrees to comply with the following obligations during the term of this contract:
Quality and Legality of Content: Produce and upload to the Platform only Content of their own authorship (or over which they hold sufficient rights), ensuring that such Content complies with all applicable laws (including decency legislation, minor protection, and anti-child-pornography laws) and with the Platform's internal policies on permitted content. The Creator must ensure that all persons appearing in the Content (including themselves and any co-stars) are at least 18 years of age, fully consent to the creation and distribution of the material, and that such consent is documented in a verifiable manner.
Compliance with Policies and Guidelines: Abide by the Community Guidelines, Terms of Service, Acceptable Use Policy, and any other guideline or regulation the Platform establishes for the safe and proper operation of the Platform. This includes, without limitation, guidelines on interactions with subscribers/users, rules on the type of content permitted (see clause 6 "Prohibited Content"), labeling or classification rules for sensitive content, and any identity or age verification requirement the Platform requires in compliance with the law (for example, providing copies of valid identity documents, model release forms, or 2257 forms in accordance with U.S. law, if applicable).
Professional Conduct: Maintain professional and respectful conduct while using the Platform. The Creator shall refrain from harassing, threatening, or discriminating against users or other creators, and from misusing the Platform's tools (for example, not sending spam, not attempting to circumvent the Platform's payment systems to charge directly outside of it, not disclosing other people's personal information, etc.). Interaction with subscribers (messages, streaming, etc.) must comply with the terms of this contract and applicable law (e.g., not inciting illegal activity).
Account Security: Protect their account access credentials (username and password), keeping them confidential. The Creator is responsible for all activity carried out from their account. They must immediately notify the Platform in case of suspected unauthorized access or a security breach on their account, and cooperate with the Platform to resolve security incidents. Sharing or transferring the Creator's account to third parties without the Platform's authorization is prohibited.
Cooperation with Moderation: Cooperate with the Platform in content moderation or verification processes. This may involve providing information or documents evidencing compliance with the legal requirements applicable to the Content (e.g., proof of participants' age) when reasonably requested by the Platform, or complying with content correction/removal instructions issued by the Platform under this contract.
Updating Information: Keep their personal and contact information registered on the Platform up to date, as well as the information necessary to process payments (for example, bank account or payment service details). Any relevant change (such as a change of residence to another country, change of stage name, etc.) must be promptly reported to the Platform to keep this contract in force and ensure the proper provision of services.
KYC, AML, Sanctions, and Risk-Based Approach
Mandatory compliance. The Creator agrees to comply with and cooperate with KYC/AML requirements and any reasonable control arising from the Platform's risk-based approach.
Control measures. The Platform may apply measures such as: (i) enhanced verification (EDD), (ii) transaction limits, (iii) settlement delays, (iv) temporary holds, (v) preventive suspensions, (vi) requests for information on source of funds/activity, (vii) account closure, when there are warning signs or risk indicators.
Sanctions and fraud. If the Platform detects or suspects: fraud, impersonation, use of VPNs or manipulation, unusual transactions, ties to sanctioned jurisdictions or lists, or any other relevant indication, it may act without prior notice in accordance with the Policies and applicable law.
Records and retention. The Platform may retain compliance evidence and operational records for the period defined in its Policies and/or required by law.
Prohibited Content
- The Creator shall not upload or distribute through the Platform any content falling within the following prohibited categories or that is otherwise illegal, unlawful, or infringes applicable laws, regulations, or rules, as well as the rules or standards of any card association, including MasterCard's Rules and Standards.
Breach of this section will be considered a material breach, entitling the Platform to take immediate measures, including removal of the infringing content, account suspension, and/or termination of this Agreement, without prejudice to any legal action that may apply.
Strictly prohibited content includes:
- Typical prohibitions (minimum): Content that includes (i) minors or the appearance of minors, (ii) exploitation, trafficking, coercion, (iii) real violence or incitement to violence/hate/discrimination, (iv) non-consensual pornography, (v) infringement of third-party image/copyright, (vi) doxing or sensitive personal data, (vii) unlawful instructions, (viii) deepfakes without a basis of consent where applicable, (ix) any other case defined by the Policies.
Moderation. The Platform may: (i) remove Content, (ii) limit visibility, (iii) block features, (iv) suspend or terminate accounts, when Content or conduct breaches the Policies or increases risk.
Notice-and-action / claims. The Platform may implement procedures for reports from users, rights holders, authorities, or affected third parties, in accordance with the Policies.
The Platform reserves the right to update or expand the categories of prohibited content as the law or internal policies evolve, notifying the Creator of any relevant change. It is the Creator's responsibility to periodically review the Platform's content policies to ensure their material does not fall under any prohibition.
Acceptable Use and Legal Compliance
The Creator will use the Platform in accordance with its purpose and will comply with all applicable laws of their country, the United States, and other relevant jurisdictions:
Regulatory Compliance for Adult Content: The Creator will comply with international and local regulations on adult content, including maintaining records of participants' age and identity (e.g., 18 U.S.C. § 2257 in the U.S., if applicable), decency standards, and audiovisual/internet communications regulations for pornographic content.
Proper Use of the Platform: Use the Platform only to create and monetize consensual adult content. It may not be used for spam, phishing, fraud, malware, or off-topic content. Security or moderation systems must not be circumvented, nor may reverse engineering, unauthorized scraping, or anything that compromises the Platform's systems be carried out.
Respect for the Privacy and Rights of Other Users: The Creator may interact with their subscribers and followers, but must respect their privacy and rights, as well as those of other users. It is prohibited to disclose personal information of users (real names, addresses, payment details) learned through the Platform, or to harass or incite others to harass any user. The Creator must comply with personal data protection laws when handling private information.
Duty to Report Incidents: If the Creator becomes aware of any activity that may constitute a violation of this contract, the Platform's policies, or the law (for example, discovery of illegal content from another user, blackmail attempts, security breaches), they agree to promptly notify the Platform. This will allow the Platform to take appropriate action to investigate and, if necessary, report to competent authorities or mitigate risks.
The Creator acknowledges that failure to comply with the Acceptable Use and Legal Compliance obligations may result in disciplinary action by the Platform, including suspension or termination of the account, and any legal liability that may arise for the Creator in the relevant jurisdictions.
Monetization, Payments, Commission, Settlement, and Reserve
Third-party payment gateway. Charges to End Users will be processed through a third-party provider (gateway). The Platform does not guarantee the continuous availability of the third party and is not liable for failures attributable to the external provider, without prejudice to reasonable efforts to restore service.
Revenue. Revenue is generated through subscriptions, individual purchases, tips, paid messages, pay-to-enter live streams, among others, depending on the tools enabled.
Commission. The Platform will withhold a commission equivalent to 20% of gross revenue actually collected (or per the applicable fee schedule/commission published in the Policies, if so defined). The Platform does not act as trustee, fiduciary, custodian, or administrator of the Creator's funds.
Service Fee. In addition to the price the Creator sets for their subscriptions, pay-per-event content, tips, paid messages, pay-to-enter live streams, or other monetization tools available on the Platform, Hyper Lab LLC may charge the end user a service fee for payment processing and operation of the billing infrastructure. Such fee will be paid directly by the end user and will constitute revenue exclusive to Hyper Lab LLC, and therefore will not form part of the revenue attributable to the Creator nor be subject to the revenue-sharing scheme applicable to the Content.
Taxes and withholdings. The Creator is responsible for declaring and paying taxes applicable to their income. The Platform may make withholdings if required by law or imposed by the payment provider.
Cutoffs and settlements. The Platform will perform daily cutoffs and biweekly settlements of the balance available for withdrawal in favor of the Creator, provided that:
- The account is active and in compliance; and
- The Creator has completed KYC.
Minimum reserve or "rolling reserve". To cover refunds, chargebacks, disputes, and fraud, the Platform will maintain a minimum reserve of 100% of revenue collected during 15 days.
The duration of the minimum reserve may be temporarily increased without prior notice due to risk indicators, chargeback history, risk category, or AML alerts, in accordance with the risk-based approach.
Refunds and chargebacks. Approved refunds and chargebacks will be deducted from the Creator's balance, including the minimum reserve. If the balance is insufficient, the Creator authorizes the Platform to offset against future settlements and/or require direct payment of the shortfall.
Adjustments and reconciliations. The Platform may make adjustments for errors, duplications, refunds, gateway fees, taxes, or valid claims.
Currency and banking costs. Payments will be made in U.S. dollars (USD). Transfer costs, intermediary banks, conversions, external fees, taxes, and other charges unrelated to the Platform will be borne by the Creator.
Withdrawal Methods: The Platform may enable one or more withdrawal methods through external payment providers. Available methods may vary depending on the Creator's jurisdiction and may be modified at any time in accordance with the Platform's operational policies.
Currency and Conversion: Unless otherwise indicated, all payments will be made in U.S. dollars (USD) or as virtual assets in Stablecoins or USDT. If the Creator chooses to receive payments in a different currency and the Platform permits it, currency conversion costs may be deducted from the Creator's funds according to the exchange rate and applicable fees of the chosen payment/withdrawal processor. The Platform will seek to offer competitive conversion rates but assumes no responsibility for exchange-rate fluctuations.
User Refund Policy: The Platform will process refunds for card fraud, technical errors, or failure to deliver the promised content. It will deduct 80% of such refunds from the Creator's balance. The remaining percentage corresponds to operational costs, non-refundable payment-processor fees, and administrative expenses incurred. It may also temporarily withhold payments if there is an investigation into significant refunds or chargebacks. The Platform will notify the Creator and provide relevant details, maintaining transparency.
Content Moderation and Platform Powers
The Platform shall have the right to oversee and moderate the Creator's Content and activities on the Platform, in order to verify compliance with this contract, internal policies, and applicable law. In exercising this power, the Platform may, at its sole discretion:
Review and Prior Approval: The Platform may review or moderate content published by the Creator to verify compliance with this contract, the Platform's policies, and applicable law. The absence of prior review or moderation does not imply the Platform's approval of the content, nor does it exempt the Creator from responsibility for it.
Removal or Blocking of Content: The Platform may remove, block, or disable any content that violates this contract, infringes third-party rights, or is objectionable on ethical or legal grounds. It will inform the Creator of the removal and its reasons, except where prohibited by an authority's order or where notification would hinder a legal investigation.
Account Suspension: In cases of well-founded suspicion of contractual breach or an ongoing investigation into the Content, the Platform will suspend the Creator's account. During the suspension, the Creator will not be able to access their account or upload content, but subscribers may continue to access previously published content that has been approved, at the Platform's discretion. The Platform will seek to limit the suspension to the time necessary to investigate and resolve the matter.
Account Termination: The Platform may terminate the Creator's account and this contract immediately if the Creator seriously or repeatedly breaches their obligations, particularly regarding illegal or non-consensual content, involvement of minors, fraud, or any conduct that legally exposes the Platform or its users. Termination will be notified in writing (via the registered email) and will take immediate effect, unless a different date is specified.
Cooperation with Authorities: The Platform may report and cooperate with authorities if it detects unlawful activities or activities that endanger persons, providing the necessary data and content in accordance with data protection laws. The Creator acknowledges this right and agrees that their information and content may be disclosed to authorities pursuant to a valid legal request, without breaching confidentiality.
The Platform will not be liable to the Creator for good-faith moderation measures taken to protect the Platform or third parties, such as removing content or suspending accounts, beyond paying amounts owed under the Payments clause. The Creator acknowledges that the Platform's moderation is crucial to maintaining a legal and safe environment.
Data Protection and Privacy
- Each Party will comply with applicable data protection regulations and Privacy Policies according to the country where applicable. Otherwise, the Data Protection and Privacy Policy established by the Platform will apply.
- The Creator agrees not to publish third parties' personal data without a valid legal basis/consent, and to comply with the privacy standards defined by the Platform.
- The Platform will process data in accordance with its Privacy Policy and may share it with third-party providers (gateway, hosting, KYC verification, analytics, security) in accordance with the applicable legal basis and purposes.
Representations, Warranties, and Obligations of the Creator
The Creator represents and warrants that:
- they hold sufficient rights over the Content;
- they do not infringe intellectual property, image rights, privacy, or third-party rights;
- they will not use the Platform for unlawful, deceptive, or fraudulent activities;
- they will provide true and up-to-date information;
- they will comply with the current Policies and their updates.
Liability, Limitations, and Exclusions
- The Platform provides the service "as is" and "as available," without any guarantee of financial results, traffic, sales, or uninterrupted continuity.
- The Platform is not liable for: (i) acts of End Users, (ii) reactions of third parties, (iii) failures of external providers (gateway/hosting) beyond its reasonable control, (iv) the Creator's content or conduct.
- To the maximum extent permitted by law, the Platform's total accumulated liability to the Creator for any cause shall be limited to an amount equivalent to commissions collected in the last 3 months, excluding willful misconduct or gross negligence where the law does not permit such limitation.
- Under no circumstances will the Platform be liable for lost profits, loss of opportunity, or indirect or reputational damages arising from use of the service, to the extent permitted by law.
Indemnification
The Creator agrees to indemnify and hold harmless the Platform, its directors, employees, and providers, from any claim, penalty, damage, cost, or expense (including reasonable fees) arising from:
- Infringement of third-party rights by the Content;
- Breach of the Policies or this Agreement;
- Fraud, impersonation, or violation of KYC/AML rules attributable to the Creator;
- Claims from End Users related to the Content.
Term, Suspension, and Termination
Term. This Agreement takes effect on the date of acceptance (electronic acceptance) and will have an indefinite duration.
Preventive suspension. The Platform may suspend access in whole or in part due to: AML/fraud alerts, breach of Policies, internal investigations, well-founded claims, or requests from authorities.
Termination by the Creator. The Creator may terminate at any time, subject to: (i) compliance with pending obligations, (ii) the settlement window and minimum reserve.
Termination by the Platform. The Platform may terminate for material breach, high risk, fraud, prohibited content, false KYC information, or recurring alerts, without prejudice to holds for refunds/chargebacks.
Effects. After termination: (i) publishing is disabled; (ii) the Content may be removed in accordance with the Policies; (iii) confidentiality, indemnification, limitation, and balance-payment obligations survive; (iv) the Platform may withhold funds in accordance with the minimum reserve and any pending amounts.
Related Documents and Hierarchy
- This Agreement incorporates by reference the Platform's current Policies, to which the Creator adheres.
- In the event of conflict:
- This Agreement's text will prevail for essential legal matters (ownership, licenses, liability, termination);
- The Policies will prevail for operational procedures (moderation, security, KYC/AML, payments and refunds), provided they do not directly contradict an essential clause.
- In the event of conflict between this Agreement and any policy, guide, or operational document published on the Platform, this Agreement shall prevail unless expressly stated otherwise.
Confidentiality and Privacy
Confidentiality of Platform Information: The Creator must maintain the confidentiality of all reserved or confidential Platform information to which they have access through this relationship. This includes internal operations, non-public marketing strategies, financial data, and any information identified as confidential. The Creator will not disclose it or use it for purposes other than those contemplated in the contract, except with the Platform's written authorization. This obligation remains in effect even after the contractual relationship ends.
User Privacy: If the Creator learns personal information about users (names, emails, etc.) through the Platform, they will treat it confidentially and only for permitted purposes (such as communication within the Platform). The Creator is prohibited from downloading this information, adding it to external databases, selling it, or disclosing it. Breach of this will be considered serious and may result in legal liability.
Exceptions to Confidentiality: Information is not confidential if it is public, is legitimately received from a third party not bound by confidentiality, or is disclosed by judicial or administrative order. In the latter case, the Creator must notify the Platform so it can take protective measures.
Modifications
The Platform may update its Policies for reasons of security, compliance, operational improvement, or risk management. Notice will be given through reasonable means (Site, email, dashboard). Continued use after the update implies acceptance, without prejudice to the Creator's right to terminate the contract if they disagree.
Governing Law and Dispute Resolution
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-laws rules. Should state legislation differ from federal legislation on a relevant matter, state rules shall prevail on contractual and commercial matters, to the extent they do not conflict with applicable federal law.
Amicable Negotiation. In the event of any dispute, difference, claim, or conflict related to the interpretation, execution, performance, or termination of this contract, the Parties agree to first attempt to resolve it amicably. The affected party will notify the other party in writing, describing the nature of the conflict, and the Parties will negotiate in good faith for a maximum period of ninety (90) days from receipt of such notice.
Jurisdiction for exceptions and enforcement. The parties agree to submit to the jurisdiction of the competent state or federal courts of the State of Florida, United States of America, for any action related to the enforcement of an arbitral award, requests for injunctive or provisional relief, or any other matter that under applicable law may be brought before the courts. The Creator expressly waives any objection to the lack of competence or jurisdiction of such courts.
Arbitration (general rule). Any dispute, difference, conflict, or claim arising out of or related to this Agreement, including its interpretation, performance, breach, or termination, shall be finally resolved through binding arbitration administered by the American Arbitration Association (AAA) or an equivalent arbitral institution, in accordance with its rules in effect at the time the proceeding is initiated.
Exceptions and injunctive relief. Notwithstanding the foregoing, the Platform may bring an action before the competent state or federal courts of the State of Florida to seek injunctive or provisional relief, or to bring actions related to fraud, intellectual property, confidentiality, unauthorized access, information security, data protection, or any other urgent relief, without this constituting a waiver of arbitration as to the merits of the matter.
Seat, language, and format. The seat of arbitration will be Florida, United States of America, and the language will be English, unless the Parties expressly agree to use Spanish. The proceeding may be conducted virtually where permitted by the applicable rules and/or determined by the arbitral tribunal.
Award and enforcement. The arbitral award will be final and binding on both Parties and may be enforced before any competent court. For purposes of enforcing the award and/or injunctive relief, the Parties submit to the jurisdiction of the state or federal courts of the State of Florida and waive any objection to lack of jurisdiction.
Notices. The Parties agree that notices of claims or procedural actions may be validly served on the Creator via the email registered on the Platform, without prejudice to other methods required by law or applicable international treaties.
General Provisions
Entire Agreement: This contract is the entire agreement between the Platform and the Creator, superseding any prior agreement. Both parties acknowledge that they are not relying on representations outside the contract. Any change must be notified to and accepted by both parties, except where the Platform notifies permitted unilateral changes (e.g., policy updates). Continued use of the Platform after notification implies acceptance of the changes.
Severability: If a court or competent authority declares any provision of this contract invalid, illegal, or unenforceable, it will be interpreted as closely as possible to the original intent permitted by law. The remaining provisions will remain in force and binding. The invalidity of one clause will not affect the rest of the contract. The Parties will negotiate in good faith a valid substitute that preserves the original economic and legal purpose.
No Waiver: Failure to exercise a right under this contract does not mean waiving it. Failure to enforce a provision or exercise a right on one occasion does not imply a permanent waiver of it or of other rights. For a waiver to be valid, it must be in writing.
Assignment of the Agreement: The Creator may not assign or transfer the rights or obligations of this contract without the Platform's prior written consent. Any assignment contrary to this will be void. The Platform may assign this contract, in whole or in part, or any of its rights or obligations, to an affiliated, parent, or subsidiary entity, a purchaser of its business or of the Platform, or a successor by merger, spin-off, or reorganization, by notifying the Creator. In the event of a valid assignment, this contract will be binding on the authorized successors and assigns.
Relationship of the Parties: This contract does not create an agency, representation, partnership, franchise, or joint-venture relationship between the Parties, beyond that of an independent contractor. The Creator may not assume obligations or commitments on behalf of the Platform, or vice versa. Each Party will act independently and will be responsible for its own obligations and for the personnel it hires to fulfill them.
Electronic Acceptance: The Creator accepts this Agreement by creating a creator account and selecting the corresponding acceptance box during the registration process. Such electronic acceptance constitutes a legally binding agreement between the Creator and the Platform and has the same legal effect as a handwritten signature.
