Fan–Creator Agreement

Contractual relationship between fans and creators.

This Agreement governs every interaction between a Fan and a Creator. By initiating any Creator Interaction, both parties agree to be legally bound by these terms.

Parties

The only parties to this Agreement are the Fan and the Creator participating in the Creator Interaction. The Company and/or its Affiliates are not parties to this Agreement or to any Creator Interaction, except as expressly set forth below.

Scope

This Agreement is legally binding and applies each time a Creator Interaction is initiated on Seacrets. This Agreement applies to the exclusion of any other terms the Fan or Creator may propose.

Nature of the Relationship

The Platform does not sell Content, does not guarantee quality, and does not supervise the Creator's performance. There is no agency, partnership, or employment relationship between the Platform and the parties.

Interpretation

In this Agreement, the defined terms have the following meanings:

  • "Company": Hyper Lab LLC.
  • "Content": any material uploaded to Seacrets by any User, including photographs, videos, audio, live streams, data, text, metadata, images, interactive features, emojis, GIFs, memes, and any other material of any nature.
  • "Creator": a User who has set up their Seacrets account to publish Content for Fans to view.
  • "Creator Earnings": the portion of the Fan Payment payable to the Creator under the Terms of Use.
  • "Creator Interaction": an interaction on Seacrets that grants access to a Creator's Content, including:
  • a Subscription;
  • a payment for access to pay-per-view Content; and
  • any other interaction or payment between a User and a Creator's account or Content, including direct messages.
  • "Creator Interaction License": the non-transferable, non-sublicensable, and non-exclusive rights each Creator grants over the Relevant Content.
  • "Fan": a User who has registered for an account and may access Creators' Content through a Creator Interaction.
  • "Fan Payment": any payment related to a Creator Interaction.
  • "Seacrets Fee": 20% of all Fan Payments charged to Creators under the Terms of Service.
  • "Include," "Includes," and "Including" also mean "without limitation."
  • "Indirect Sales Taxes": any Tax legally applicable to Fan Payments in any relevant jurisdiction.
  • "Seacrets": the website accessible at www.seacrets.online or through any web browser, owned and operated by the Company.
  • "Relevant Paid Content": any Content for which the Fan must make a Fan Payment.
  • "Referring User": a User who participates in the Seacrets Referral Program.
  • "Relevant Content": the applicable Content of a Creator referred to by a Creator Interaction.
  • "Subscription": a Fan's binding agreement to obtain access, for a specific period, to all Content a Creator makes available to Fans, in exchange for authorizing automatically renewing payments. This excludes individually priced content.
  • "Affiliate": any legal entity that the Company or one of its affiliates, alone or jointly with other Company affiliates, owns or has the power to vote or control.
  • "Tax": all forms of statutory or governmental taxes and charges, duties, levies, contributions, fees, withholdings, or obligations, wherever payable in any applicable jurisdiction.
  • "Upload": to post, display, send, write, enter, or otherwise share photographs, videos, audio, live streams, data, text, metadata, images, interactive features, emojis, GIFs, memes, or any other material of any nature.
  • "User": any user of Seacrets, whether a Creator, a Fan, or both (also referred to as "you" or "your").

Pricing and Payments

Creator Control: Subscription prices and terms are set by the Creator.

Chargebacks: Chargeback abuse constitutes a material breach. The Fan acknowledges that access to digital content is for immediate consumption.

Content Access License

The Creator grants the Fan a non-exclusive, non-transferable, and revocable license solely for personal viewing. No ownership is transferred. Downloading, screen recording, or redistribution is prohibited.

The license will be automatically and irrevocably revoked:

  • if the Fan's payment related to the Creator Interaction was unsuccessful, was subject to a chargeback, or was reversed;
  • if the Creator deletes the Relevant Content or their Creator account, or when an active Subscription period ends;
  • if the Fan's account is suspended or cancelled;
  • if the Fan breaches Seacrets' Terms of Service, if the Relevant Content is removed from the Creator's account, or the Creator's account is suspended or cancelled; and
  • if the Fan closes their account.

Obligations Between the Creator and the Fan in Creator Interactions

  • The Fan and the Creator agree to comply at all times with Seacrets' Terms of Service.
  • The Creator is solely responsible for creating and publishing the Relevant Content.
  • The Creator is solely responsible for creating and publishing the Relevant Content.
  • The Creator represents and warrants that they know, understand, and fully comply with all responsibilities, obligations, and guidelines established by the Company, in accordance with the current policies duly incorporated and published on the platform.
  • The Creator warrants that they hold all rights necessary to grant a Creator Interaction License.
  • The Creator agrees to provide access to the Relevant Paid Content once the Fan has made the Fan Payment.
  • The Fan acknowledges that third parties may assist Creators in operating their accounts and in Creator Interactions.
  • The Fan agrees to make the Fan Payment required to access the Relevant Paid Content.
  • The Fan agrees not to initiate a chargeback unless disputing the Creator Interaction in good faith.
  • The Fan assumes all risks arising from accessing the Relevant Content, unless the Creator is negligent or otherwise breaches their obligations.

Prohibited Uses and Privacy Protection

  • Prohibition on Artificial Intelligence and Synthetic Media. The Fan is strictly prohibited from using the Content to:
  • Train or improve artificial intelligence or machine learning models.
  • Generate deepfakes, voice cloning, or digital manipulation of the Creator's image.

Anti-Doxing and Identity Protection

The Fan shall not:

  • Attempt to identify the Creator's real identity or private information.
  • Engage in doxing (publishing private data).
  • Contact the Creator outside authorized channels.

Creator Representations and Warranties

  • General Warranties: The Creator warrants that all Content is original or duly licensed and complies with applicable laws.
  • Age Verification and Records Compliance (18 U.S.C. § 2257):
  • Age Representation: The Creator represents that they are at least eighteen (18) years of age and of legal age both in their country of residence and in the country where the content is produced.
  • Mandatory Documentation: They will maintain complete records of all participants.
  • Content with Third Parties: They warrant that any third party is an adult at least eighteen (18) years of age and of legal age both in their country of residence and in the country where the content is produced, and holds valid releases.
  • Right of Audit: Documentation must be provided within 24 hours upon request.
  • Indemnification: The Creator will indemnify the Platform for any breach.

Liability and Indemnification

The Platform assumes no liability for Interactions. The Creator's liability is limited to the amount paid, except in cases of fraud or willful misconduct.

Governing Law and Dispute Resolution

  • Law: Governed by the laws of the State of Delaware.
  • Arbitration: Binding arbitration via AAA in Miami, Florida.

Acceptance By initiating a Creator Interaction, both parties confirm that they have read, understood, and accepted this Agreement.
